Plugin Supermarket Terms of Service

These Terms of Service ("Terms") are an agreement between you and Help Me Devvon LLC ("HMD", "we", "us") about your use of Plugin Supermarket's accounts, store, wallet, Creator Program, Build Assistant, Marketplace and Community (together, the "Services"). The software itself is licensed to you under the Plugin Supermarket End User License Agreement (the "EULA"). Your personal information is handled under the Plugin Supermarket Privacy Policy. Creators who sell on the Marketplace also accept the Creator Agreement. If these Terms and the EULA disagree about the software, the EULA wins; if they disagree about anything else, these Terms win. By using the Services you agree to these Terms.

1. WHO CAN USE THE SERVICES

You must be at least 13 years old to use the Services. You must be at least 18, or have the permission of a parent or legal guardian who agrees to these Terms for you, to buy anything, top up a wallet or subscribe to the Creator Program. You must be at least 18 (or the age of majority where you live, if higher) to sell on the Marketplace or receive payouts. The Services are not directed to children under 13, and if we learn that an account belongs to a child under 13 we will close it.

You may not use the Services if HMD has previously closed your account for breaking these Terms, or if you are barred from receiving them under the laws of the United States or the place you live.

2. YOUR ACCOUNT

You sign in to Plugin Supermarket with your helpmedevvon.com customer account. Your Plugin Supermarket account is created the first time you sign in. Keep access to the email address on your account secure: anyone who can sign in with it can use your account, your wallet and your plugins.

One account is for one person. Do not share it, sell it or let anyone else use it. Your account can be signed in on a limited number of computers at once, as described in the EULA. You are responsible for everything that happens on your account unless it happened because of HMD's own failure.

You can sign out of a computer, or of every computer, in Plugin Supermarket under Settings.

3. PLUGINS AND THE EULA

Every plugin you get through the Services, whether an HMD Original, a creator plugin or one included free, is licensed to you under the EULA. Buying a plugin gives you a license to use it, not ownership of it.

4. PRICES, PAYMENT AND TAXES

Prices are in US dollars. Wallet top-ups, Creator Program memberships and Build Assistant request packs are bought at helpmedevvon.com and paid through HMD's checkout, which is run by Shopify; Shopify's terms and privacy policy also apply to that checkout. Applicable taxes are calculated and added at checkout. HMD may change prices at any time, but a change never affects a purchase you have already completed.

5. THE WALLET

Your wallet holds prepaid credit that you top up at helpmedevvon.com and spend on plugins inside Plugin Supermarket. Wallet credit:
(a) is a prepaid credit for HMD's Plugin Supermarket products, not a bank account or money HMD holds for you, and earns no interest;
(b) has no cash value and cannot be withdrawn, sold, transferred to another account or exchanged for cash, except where the law requires;
(c) does not expire, and HMD does not charge any fee for holding it.

If a top-up is reversed (for example by a chargeback) after you have spent some of it, your balance is reduced by that amount and can go below zero. HMD may limit new purchases until a negative balance is cleared.

6. NO REFUNDS

All sales are final. Plugins, wallet top-ups, Build Assistant request packs and Creator Program payments are digital and delivered immediately, so they are not refundable, except where the law requires a refund.

If you were charged twice for the same thing by mistake, or something you paid for never reached your account, email info@helpmedevvon.com with your account email and what you bought, and HMD will put it right.

If you dispute a payment with your bank or card issuer (a chargeback) for something you received, HMD may suspend your account while the dispute is open and may close it if the dispute is decided against HMD. If a top-up is reversed after you spent some of it, your balance is reduced as described in Section 5.

7. THE CREATOR PROGRAM

The Creator Program is a monthly membership, currently US$19.99 a month. While your membership is active, you get:
(a) a monthly allowance of Build Assistant requests (currently 100 a month);
(b) a number of HMD Originals you can add to your Library free each month (currently 10 a month; HMD Originals only);
(c) the right to submit plugins for sale on the Marketplace under the Creator Agreement, and to receive payouts; and
(d) an optional public creator profile.

Each paid month starts when HMD receives the payment for it. Unused monthly requests and unused free HMD Originals do not roll over; they end when your next paid month begins. Plugins you added free are yours to keep under the EULA.

Your membership renews automatically each month until you cancel. You can cancel at any time from your helpmedevvon.com account; canceling stops future renewals and your membership stays active until the end of the month you have paid for. If a renewal payment fails, your membership stays active for a short grace period (currently 72 hours) while the payment is retried. What happens to your Marketplace listings and earnings when your membership ends is set out in the Creator Agreement.

HMD may give a membership as a gift. A gifted membership includes the same benefits as a paid one, costs you nothing, does not renew automatically and ends on its own at the end of the gifted period.

HMD may change the benefits of the Creator Program. If a change reduces your benefits, HMD will tell you at least 30 days before it takes effect, and you can cancel before then.

8. THE BUILD ASSISTANT

The Build Assistant suggests plugin designs using artificial intelligence. Every new account receives one free request (one per account and one per computer). More requests come with the Creator Program or in request packs bought at helpmedevvon.com. A request is used when you send a message to the Build Assistant, whether or not you keep the result. Monthly membership requests are used first, then any free request, then pack requests. Pack requests do not expire.

Suggestions can be wrong or unsuitable, and similar suggestions may be given to other people. You are responsible for checking what you build before you publish or sell it. Do not use the Build Assistant to create anything that breaks Section 12.

9. THE MARKETPLACE

The Marketplace sells HMD Originals and plugins made by independent creators. HMD is the seller of every Marketplace purchase: you pay HMD, HMD delivers the plugin to your Library, and support requests go to HMD.

Only people who own a plugin can rate or review it. Reviews must be honest, about the plugin, and follow Section 12. Written reviews are checked by HMD before they appear; star ratings appear straight away. Creators cannot review their own plugins. HMD may hide or remove reviews that break these Terms. Reviews that receive enough reports from other users are hidden while HMD looks at them. If your review is removed, you can appeal from Plugin Supermarket or by emailing info@helpmedevvon.com.

10. THE COMMUNITY, PROFILES AND THE SHOWCASE

Creator profiles are private unless their creator chooses to make them public. A public profile shows what its creator adds to it, such as a display name, handle, bio, links, genres, profile images, a profile song link, favorite and published plugins, badges and follower counts, and is visible to everyone using Plugin Supermarket. Customer accounts are never shown publicly.

You can follow creators. Follower counts and trending lists are calculated by HMD from real activity, and HMD may exclude activity it believes is fake or manipulated.

The Showcase is a selection of creator designs chosen by HMD. Being included is at HMD's discretion and does not make a design available to buy.

11. YOUR CONTENT

"Your Content" means anything you submit, upload or post through the Services, including plugin designs, profile text, links, images, reviews and reports. You keep ownership of Your Content. You give HMD a worldwide, non-exclusive, royalty-free license to host, store, copy, process, format, display and distribute Your Content as needed to operate, provide, promote and improve the Services, for as long as Your Content is on the Services. Plugins you submit for sale are also covered by the Creator Agreement. After you remove Your Content, HMD may keep copies in backups and legal records for a reasonable time, and copies already licensed to buyers stay with them.

You promise that you own or have permission to use Your Content and that it does not break Section 12 or anyone else's rights.

12. COMMUNITY GUIDELINES: WHAT YOU MAY NOT POST OR DO

You may not use the Services to:
(a) post or sell anything that infringes someone else's copyright, trademark or other rights, including other companies' plugin names, logos or artwork, or another creator's design;
(b) post sexually explicit, pornographic or obscene content, or any sexual content involving minors;
(c) post content that is hateful, harassing, threatening, violent or that encourages self-harm or illegal activity;
(d) post anyone's private information or intimate images without their consent;
(e) impersonate any person, artist, brand or HMD, or falsely claim an endorsement;
(f) send spam, or manipulate follows, reviews, ratings, rankings or badges, including with multiple accounts;
(g) upload malicious code or try to access accounts, systems or data that are not yours;
(h) scrape, copy or harvest the Services or other users' information;
(i) get around computer limits, copy protection, payment, or any limit or ban HMD has applied; or
(j) break any law.

13. COPYRIGHT COMPLAINTS AND TAKEDOWNS

HMD respects intellectual property rights and responds to notices of claimed infringement under the US Digital Millennium Copyright Act (DMCA).

If you believe content on the Services infringes your copyright, send a notice to HMD's designated agent:

Your notice must include: (1) your physical or electronic signature; (2) identification of the copyrighted work you say is infringed; (3) identification of the content you want removed and enough information for us to find it, such as the plugin or profile name; (4) your name, address, telephone number and email address; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent or the law; and (6) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act for the owner.

When HMD receives a valid notice, it will remove or disable the content and tell the person who posted it. If you believe your content was removed by mistake or misidentification, you may send a counter-notice to the same agent including: (1) your physical or electronic signature; (2) identification of the removed content and where it appeared; (3) a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification; and (4) your name, address and telephone number, and a statement that you consent to the jurisdiction of the federal district court for your address (or, if you are outside the United States, any judicial district in which HMD may be found) and will accept service from the person who sent the original notice. HMD may restore the content 10 to 14 business days after receiving a valid counter-notice unless the complaining party tells us it has filed a court action.

Sending a notice or counter-notice that knowingly misrepresents the facts can make you liable for damages. HMD closes the accounts of users who repeatedly infringe others' rights.

For complaints that are not about copyright (for example trademarks or impersonation), email info@helpmedevvon.com.

14. REPORTING INTIMATE IMAGES SHARED WITHOUT CONSENT

If an intimate image of you, or of someone you are authorized to act for, has been posted on the Services without consent, email info@helpmedevvon.com with: your physical or electronic signature; enough information for us to find the image; a brief statement of your good-faith belief that it was posted without consent; and how to contact you. HMD will remove the image, and make reasonable efforts to remove known copies, within 48 hours of receiving a valid request.

15. MODERATION, SUSPENSION AND CLOSING ACCOUNTS

HMD may review, refuse, hide or remove any content, and may suspend or close any account, profile or listing, if HMD reasonably believes it breaks these Terms, the EULA, the Creator Agreement or the law, or puts users, creators or HMD at risk. Where we can, we will tell you why. If you think we made a mistake, email info@helpmedevvon.com and we will review the decision.

You can stop using the Services at any time, and you can delete your account yourself in Plugin Supermarket under Settings, Account, Delete my account (or by emailing info@helpmedevvon.com). Deleting your account removes your personal information as described in the Privacy Policy. Plugins you got through the account stop loading, and any unspent wallet credit is forfeited; the delete screen shows the amount before you confirm. Deleting your account does not cancel a Creator Program subscription: cancel it at helpmedevvon.com first. If HMD closes your account because you broke these Terms, any wallet balance may be forfeited, except where the law requires otherwise. If HMD closes your account for any other reason, or stops offering the Services, HMD will refund any unused wallet balance to you.

16. CHANGES TO THE SERVICES AND TO THESE TERMS

HMD may add, change or remove features of the Services. HMD may update these Terms. For a material change, HMD will tell you in Plugin Supermarket or by email before it takes effect and ask you to accept the new version. If you do not accept it, you must stop using the Services, and you can delete your account as described in Section 15.

17. THIRD-PARTY SERVICES

Parts of the Services are provided with the help of other companies, including Shopify (sign-in and checkout), Stripe (creator payouts) and Anthropic (the Build Assistant's artificial intelligence). Their own terms apply to your use of their services. HMD is not responsible for services HMD does not control.

18. DISCLAIMERS

TO THE FULLEST EXTENT ALLOWED BY LAW, THE SERVICES AND ALL CONTENT ON THEM, INCLUDING CREATOR PLUGINS, REVIEWS AND BUILD ASSISTANT SUGGESTIONS, ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. HMD DOES NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. HMD IS NOT RESPONSIBLE FOR CONTENT POSTED BY USERS OR CREATORS.

19. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT ALLOWED BY LAW, HMD AND ITS OWNERS, EMPLOYEES AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THESE TERMS OR THE SERVICES. HMD'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID HMD IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND (B) FIFTY US DOLLARS (US$50).

Some places do not allow certain warranties to be excluded or liability to be limited, so some of Sections 18 and 19 may not apply to you. Nothing in these Terms limits rights you have under consumer law that cannot be limited by contract.

20. YOUR RESPONSIBILITY TO HMD

If you break these Terms or the law, or your content infringes someone's rights, and someone makes a claim against HMD because of it, you will cover HMD's reasonable losses and costs from that claim, including reasonable legal fees, to the extent the law allows.

21. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Services will be decided only by the state or federal courts located in New York County, New York, and you and HMD consent to their jurisdiction, except that either of us may bring an individual claim in a small claims court where it qualifies. Before filing a claim, please email info@helpmedevvon.com so we can try to resolve it informally. If you live in a country whose law gives you the right to bring a claim in your local courts, this section does not take that right away.

22. GENERAL

These Terms, the EULA, the Privacy Policy and (for creators) the Creator Agreement are the entire agreement between you and HMD about the Services. If any part of these Terms is found unenforceable, the rest stays in effect. If HMD does not enforce a right, that is not a waiver of it. You may not transfer these Terms; HMD may transfer them as part of a sale or reorganization of its business. Notices to you may be given in Plugin Supermarket or by email to the address on your account.
